Giới thiệu văn bản:

THIS REAL ESTATE PURCHASE AND SALE AGREEMENT (hereinafter “Agreement”) is made and entered between a municipal corporation and political subdivision of the state of Washington (hereinafter “Seller”) and (hereinafter "Purchaser"). Seller and Purchaser may hereinafter be collectively referred to as “Parties” or individually as a “Party.”

1. I ncor por ation of R ecitals. The above recitals are true and correct and are incorporated herein by this reference as if fully set forth.
2. Pu r chase and Sale. Seller shall sell and convey to Purchaser, and Purchaser shall purchase and accept from Seller, upon the terms, covenants and conditions set forth in this Agreement, all of Seller's right, title and interest in and to the Subject Property.
3. Pu r chase P r ice. The total purchase price for the Subject Property (hereinafter "Purchase Price") shall be the sum of AND NO/100 DOLLARS ($ through escrow at Closing (defined in Section) and shall be paid by Purchaser to Seller below) by cashier's check, certified check or wire transfer of immediately available funds to Closing Agent (defined in Section 4 below).
4. E a r nest M oney D eposit. Within ten (10) business days of the Effective Date, Purchaser shall deliver a fully executed copy of this Agreement and an earnest money deposit (hereinafter "Earnest Money") in the amount of AND NO/100 DOLLARS ($) to Ticor Title Insurance Company, 3929 Bridgeport Way West, Suite 202, University Place, WA 98466 (hereinafter "Closing Agent"), to be deposited by Closing Agent into an interest-bearing account (hereinafter "Escrow Account") and shall maintain said account for the benefit of the Parties in accordance with the terms, covenants and conditions set forth in this Agreement. Upon Purchaser's satisfaction or waiver of the Due Diligence Review described in Section 6 below, the Earnest Money shall become non-refundable, except as may be expressly provided to the contrary elsewhere in this Agreement. The term "Earnest Money" shall also include any interest earned thereon, which shall accrue for the benefit of Purchaser. The Earnest Money shall be applied to the Purchase Price at Closing.
